Terms of Service

Draft — pending legal review. This is a strict first draft prepared for the Moving Pictures platform. It reflects how the service is intended to operate but has not yet been reviewed by counsel and is not binding until finalized and accepted at sign-up. Defined commercial terms (fees, payout timing, dispute windows) may change before launch.

Effective: on acceptance at account creation. Operator: LF Digital Solutions LLC, a Wyoming (USA) limited liability company that operates the Moving Pictures platform (the "Platform", "we", "us"). See the Imprint for entity details.

1. What Moving Pictures is

Moving Pictures is a managed marketplace that connects video content creators ("Creators") who need editing with freelance video editors ("Editors"). We provide matching, project workspaces, communication, secure file exchange, review and revision tooling, payment handling and dispute resolution. We take a margin for operating this trusted layer.

We are not a party to the creative work itself. The editing service is performed by the Editor for the Creator. Our role is to operate the platform, set the published price, and move money between the two sides under the terms below.

2. Eligibility & accounts

You must be at least 18 and able to enter a binding contract. You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials secure. We may suspend or close accounts that breach these Terms, the Editor Agreement or the Creator Agreement.

3. Pricing & how money flows

  • One published price. For each project, the Creator pays a single Platform price set by the project's scope (format, finished length, footage complexity, add-ons). There are no per-line fees, credits or in-app unlocks.
  • Authorize on brief, capture on approval. When a Creator briefs a project, we authorize their payment method for the project price. We capture that amount only when the delivery is approved (or auto-approved — see §6). If a project is cancelled before work begins, the authorization is released.
  • Editor payout. On capture, the Editor is paid their agreed payout for that project, less nothing further (their rate is set with them directly). The difference between the Creator price and the Editor payout is the Platform's margin and is not itemized.
  • Subscriptions / retainers (Studio plans, media vault/retention, priority matching and similar recurring features) are billed monthly on the web, separately from per-project charges, and renew until cancelled.

4. Agent of the payee

By using the Platform, the Editor appoints Moving Pictures as its limited agent for the sole purpose of collecting payments from Creators on the Editor's behalf. A Creator's payment of the project price to the Platform discharges that Creator's payment obligation to the Editor, even if the Platform is delayed in remitting the payout. The Platform does not hold customer funds beyond what is necessary and integral to operating the escrow-style delivery-and-approval flow; funds move through licensed payment processors (e.g. Stripe) and payout providers (e.g. Wise).

5. Escrow-style protection

Project funds are authorized up front and captured on approval, so a Creator's money is protected until they accept a delivery, and an Editor is assured of payment once an approved delivery exists. We are not a bank and do not pay interest on any amount held in transit.

6. Deliveries, revisions & approval

  • Deliveries are made in the project workspace. The included number of revision rounds for a project is shown at brief time; further rounds are available as paid add-ons.
  • A Creator should review and either approve or request a revision within the review window shown in-platform. If no action is taken within that window, the delivery may be auto-approved and payment captured and released.
  • Approval triggers transfer of rights as set out in the Editor Agreement and Creator Agreement.

7. No circumvention

The Platform's value depends on Creators and Editors transacting on it. You agree not to use the Platform to find a counterparty and then arrange, solicit, invoice or pay for editing work off the Platform to avoid fees, and not to solicit a Platform counterparty to take their relationship off-platform. This restriction applies during your use of the Platform and for 12 months after your last project together. Breach may result in account termination and a circumvention fee equal to the fees we would reasonably have earned. The Editor's stricter non-solicitation terms are in the Editor Agreement.

8. Acceptable use

You will not upload or request unlawful, infringing, or harmful content; impersonate others; misuse the dispute process; scrape or probe the Platform; or interfere with its operation. You are responsible for holding the rights to any footage you upload.

9. Disputes between Creator and Editor

Where a Creator and Editor disagree on a delivery, our resolution process reviews the brief, the workspace history and the delivery, and decides the release or refund of the project funds. Our decision on the release of project funds is final as between the parties for Platform-mediated payment, without prejudice to other legal rights the parties may have against each other.

10. Intellectual property in the Platform

We own the Platform, its software, brand and content. We grant you a limited, revocable, non-transferable licence to use it for its intended purpose. Rights in delivered editing work are governed by the Editor and Creator Agreements, not this section.

11. Disclaimers & liability

The Platform is provided "as is". We do not warrant uninterrupted or error-free operation, or any specific creative outcome. To the maximum extent permitted by law, our aggregate liability to you for any claim is limited to the Platform fees we earned on the project(s) giving rise to the claim in the 3 months before it arose. We are not liable for indirect or consequential loss. Nothing here limits liability that cannot be limited by law.

12. Termination

Either party may stop using the Platform at any time. We may suspend or terminate access for breach. Sections that by their nature should survive (payment owed, no-circumvention, IP, liability, disputes) survive termination.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, where LF Digital Solutions LLC is organized, without regard to conflict-of-laws rules. Venue and any arbitration clause will be confirmed on legal review. Mandatory consumer-protection rights under the law of an EU/EEA user's country of residence remain unaffected.

14. Changes

We may update these Terms. Material changes will be communicated before they take effect; continued use after that constitutes acceptance.
